PSP definitions

This document (the “Definitions”) sets out the definitions applied to the PSP General Terms and Conditions and any other document which makes reference to these Definitions.

Agreement” means the signed PSP Partner Agreement, the PSP General Terms and Conditions, the Definitions, and the Guidelines; 

API” means Application Programming Interface, which is a set of programming instructions and standards Intergiro provides to communicate with the Customer and to receive Transactions from a Merchant or its third-party PSP;

Acquiring Services” means the services Intergiro provides to e-commerce merchants;

Authorisation” means (i) a confirmation from the Issuer, to a request to effect a Transaction, that the Transaction is within the Cardholder's available credit limit and that the Cardholder has not reported the Card lost or stolen, or (ii) the confirmation of a Refund to a Cardholder;

"Business Day" means 08.00-17.00 within a day when commercial banks are open for general banking business (other than internet banking) in Sweden;

Card” means a payment instrument in the form of a credit or debit card issued by a licenced card issuer, bearing the trademark of a Card Scheme;

Card Acquiring” means card acquiring services to e-commerce merchants;

Cardholder” means an individual who is issued a Card;

Card Schemes” means each of the card networks Mastercard (“Mastercard”) and Visa (“Visa”) and any of their successors or assigns unless otherwise indicated in the Merchant Application;

Card Scheme Rules” means the articles of association, rules, operating regulations, guidelines, policies and other instructions issued by the Card Schemes (as amended from time to time);

Chargeback” means the return of funds to the End-Customer as a result of a disputed Transaction made by Card required by the End-Customer’s issuing bank or a Card Scheme;

Commission” has the meaning set out in the PSP Partner Agreement if the Parties have agreed that a commission will be paid;

Commission Report” means a report prepared by Intergiro setting out the Card Acquiring Commissions and relevant calculations (on an aggregate basis);

Confidential Information” means any information disclosed by a Party under the Agreement except (i) information that was already lawfully in a Party’s possession without any duty of confidentiality, (ii) is subsequently disclosed to Party by a third party that was not in breach of any obligation of confidentiality, (iii) is or becomes generally available to the public through no act or default on a Party, or (iv) was independently developed by a Party without the use of or reliance upon the Confidential information;

Customer” means the customer of the Merchant that makes a Transaction;

Data Controller” shall have the meaning assigned to such term in the GDPR;

Effective Date” means the date on which both Parties have signed the PSP Partner Agreement;

Fines” means any penalties, uplifted fees, legal sanctions or other additional payments associated with any costs imposed by the Card Schemes or competent authorities;

General Data Protection Regulation” or “GDPR” means Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data;

Guidelines” means Intergiro’s guidelines and instructions published on Intergiro’s website [www.intergiro.com] (as amended from time to time) or otherwise provided by Intergiro;

Intergiro” means Intergiro Intl AB (publ), a Swedish fintech company licensed and registered as an electronic money institution with licence no 48003 with the Swedish Financial Supervisory Authority (Sw. Finansinspektionen) with the authority to issue electronic money and to provide payment services. Intergiro’s registered address is Box 3093, 103 61 Stockholm, Sweden and VAT number is SE556965353701, and its subsidiaries;

Intergiro’s Operational Requirements” means the instructions and policies  (as amended from time to time) that all Merchants will comply with at all times;

Intergiro's Online Application System” means Intergiro’s web-based portal used for referring Potential Merchants; 

Laws” means any applicable law, order, decree, ordinance, statute, regulation, generally accepted authority guideline or directive (having direct effect) in force from time to time;

“Marks” has the meaning set out in clause 16.1 of the PSP General Terms and Conditions;

Merchant” means a person (including an individual, a partnership or a legal entity) who sells goods, services and/or content online (Card not Present Transactions);

Merchant Agreement” means the agreement (including the Merchant’s acceptance of Intergiro’s terms and conditions) entered into between Intergiro and the Merchant, governing Intergiro’s provision of Card Acquiring services;

Merchant Business Account” means a payment account opened by Intergiro in the name of the Merchant;

MID” means merchant identification number;

Parties” means the PSP Partner and Intergiro;

Payment Methods” means payment methods offered by Intergiro from time to time,  that can be used to purchase goods, services or content;

Personal Data” means any information relating to an identified or identifiable natural person; an identifiable natural person is a person who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, an identification number, location data or online identifiers, or one or more factors specific to the physical, physiological, genetic, mental, economic, cultural or social identity of that natural person;

Policies” means Intergiro’s internal policies and procedures, including know your customer (KYC), anti-money laundering (AML), risk policies etc., in effect from time to time;

Potential Merchant” means a Merchant that the PSP Partner has referred to Intergiro through Intergiro's Online Application System and whom Intergiro will evaluate;

PSP General Terms and Conditions” means Intergiro’s general terms and conditions governing the  PSP Services between the Parties (as amended from time to time); 

PSP Merchants” means each referred Merchant and any other Merchant as agreed between the Parties;

PSP Partner” means a partner that will act as the technical liaison for Payment Methods offering Merchants, operating through e-commerce, the technological platform to facilitate transactions across various payment processing options, including transaction creation, capture, reporting and administrational services;

PSP Partner Account” means the PSP Partner’s corporate account held with Intergiro or an account held with a third-party financial institution in the name of the PSP Partner;

PSP Partner Agreement” means Intergiro´s PSP Partner Agreement through which the PSP Partner accepts and agrees to be bound by, including the PSP General Terms and Conditions;

PSP Services” means the technological platform to facilitate transactions across various payment processing options, including transaction creation, capture, reporting and administrational services;

Referral” means the referral of Merchants to Intergiro set out in clause 3.1 in the PSP General Terms and Conditions;

Refund” means the reversal (return) of a specific Transaction made by Card;

Settlement Funds” means funds by which Transactions are settled to the Merchants Business Account or an account held with a third-party financial institution that is reviewed and authorised by Intergiro;

Transaction” means (i) the purchase transaction by an End-Customer of goods, services or content from the Merchant’s Website, and (ii) the Refund of transactions set out in (i); and

Website” means the website(s)/URL(s) indicated in the Merchant application, through which the Merchant sells products, services and/or content.
